This summary is for information only; the text of the terms is binding. This is a translation; in case of discrepancies the Slovenian version prevails.

General terms and conditions of Etrust d.o.o.

Valid from 1 Jan 2027.

Changes compared with the terms of 1 Jan 2025: articles 9.1 (hourly rate €70 with a maintenance contract, otherwise €100), 9.4 and 9.5 (working hours 8:00–16:00) and 17 (court in Celje).

1. Scope

These general terms and conditions (hereinafter the “Terms”) of Etrust d.o.o., Arja vas 101, 3301 Petrovče, tax number SI36336823 (hereinafter the “contractor”) govern all services performed by the contractor in accordance with the issued offer, of which these Terms form an integral part. Amendments or side agreements require written confirmation to be valid and apply only to the respective individual transaction. If individual provisions of these general terms and conditions are invalid, this does not affect their legal validity in principle. In that case the contracting parties will conclude an agreement that comes as close as possible to the invalid provision.

2. Offers and conclusion of contracts

Offers are in principle based on an estimated value and do not bind the contractor to perform for the offered value, unless the offer states that it is binding. The contractor's staff may not make statements that deviate from these Terms unless they hold a written authorization from the contractor's legal representative.

3. Services of the contractor

The contractor performs the following services:

  • analyses of business processes and of the client's requirements,
  • supply and sale of standard software from other suppliers,
  • supply and sale of licences for proprietary software,
  • implementation services (configuration, data import, installation, go-live support),
  • user onboarding and training,
  • development of new functionality and upgrades of standard software,
  • telephone consulting,
  • software maintenance (resolving outages, upgrades, support),
  • other services in IT and business consulting.

4. Maintenance of server infrastructure

The contractor is not responsible for setting up, maintaining or managing the server infrastructure on which the Etrust solutions are installed when it is installed in the client's environment (on-premise installation). Nor does the contractor assume responsibility for the operation, security, updates or upgrades of the operating system (OS) or other server-related components. All responsibility for the operation and maintenance of the server, including backups, OS updates and ensuring technical suitability for running the Etrust solution, lies with the client.

5. Project assignment

The project assignment (hereinafter also the project) consists of the services specified in the offer. As a rule, the basis for ordering a project is a gap analysis, the result of which is a gap document or functional specification (in both cases hereinafter also the “project assignment”) that describes the deviations of user requirements from the standard or proprietary software. The client must check the adequacy of the project assignment and confirm it, as it is the basis for preparing the final product (hereinafter also the Solution). If the client does not confirm the project assignment but uses it, or if it is clear from the communication that the client agrees with it, the project assignment is deemed confirmed.

Changes to requirements or extensions of the order that may arise after the offer has been confirmed are handled separately as change requests, for which the contractor issues a separate offer. Changed requirements may also change the agreed project schedule and entitle the contractor to assess and charge the additional costs incurred on that basis. By confirming the offer in writing, the client declares that it has reviewed the project assignment that is the subject of the offer and that the solution and services meet its requirements.

Services performed before they are specified in more detail by the project assignment, without it or in addition to it, as well as services whose scope cannot be estimated and which are stated as such in the offer, are charged according to the actual time spent. Unlike a binding project assignment, advertising mailings, marketing material, product information and statements by the manufacturer or importer are in principle non-binding unless the client orders and confirms them in writing. The contractor points out and expressly states that software development may also involve errors. The contractor acknowledges an error if it occurred despite correct use in accordance with the user instructions and the error can be reproduced.

6. Standard software

Standard software is software developed by other manufacturers. With standard software the client acquires the right to use it for the needs of its business activity in accordance with the terms and conditions of use of the respective standard software manufacturer. The contractor warrants that no third-party rights oppose the transfer of the right of use to the client for the needs of the client's business activity. The order for the supply of standard software is executed by written confirmation of the order. By confirming the order or starting to use the standard software, the client is deemed to have become familiar with the functionality of the standard software and the respective manufacturer's terms and to have agreed to them.

7. Proprietary software

Proprietary software is software developed by the contractor. With proprietary software the client acquires the right to use it for the needs of its business activity in accordance with the contractor's terms, as set out in article 11. The order for the supply of proprietary software is executed after the client has become familiar with the functionality of the ordered programs and the respective general terms, and by ordering or using the proprietary software the client is deemed to have confirmed that, before accepting the offer, it thoroughly familiarized itself with the functionality and the contractor's general terms and agreed to them.

8. Project management

A project organization appropriate to the size and complexity of the tasks, as well as appropriate project management, are unconditional prerequisites for the successful implementation of an information system. The scope and content of the contractor's project management services are defined in the project documentation and/or the offer.

8.1 Project organization

The contractor will perform the services in close cooperation with the client. Unless otherwise agreed due to the nature of the project, the client and the contractor each appoint one project manager, who decide on the project unanimously. If a joint decision is not possible, the matter is referred to the project board, consisting of one member of the management of the contractor and one of the client. The two project managers jointly determine the following parameters:

  • the frequency, duration and participants of meetings,
  • the level of detail of project planning and project control,
  • the rules for drawing up and approving minutes,
  • they decide on and approve any additional project services in accordance with the authorizations and internal rules of each company or the respective project,
  • they inform the project board of the project status,
  • they convene the project board in accordance with the agreement and the communication rules of the respective project.

The contracting parties undertake to ensure the continuity of the project to the best of their ability. The contractor is entitled to have services performed by a subcontractor. In that case the contractor performs the order as general contractor and is jointly liable for it. The contractor is also responsible for properly settling all legal matters, in particular information security and the handling of personal data.

8.2 Duty to inform

Both contracting parties must inform each other immediately of any circumstances that significantly affect the performance of the project. This applies regardless of whether such circumstances arise in their own sphere of responsibility, in the sphere of responsibility of the other contracting party or of third parties. In such a case the project managers decide unanimously on appropriate measures to achieve the project goal as far as possible.

8.3 Client cooperation

Organizational concepts and programs are prepared according to the type and scope of the binding information, documentation and aids made available to the contractor by the client. This also includes test data that reflects practice, as well as testing facilities, which the client provides in sufficient scope, on time and at its own expense. The client undertakes to ensure that appropriately qualified staff, equipment, premises and test data are available at the client's locations at the dates set by the project managers. The client provides its cooperation at its own expense. The client is responsible for preparing the requirements and must take part in drawing up the functional specification, which defines the scope of the project and is thus the subject of the contractor's final offer. The client gives the contractor internet access to the supplied software in accordance with the client's internal rules and regulations if this is necessary for performing the order. In addition, the client may itself, i.e. with the help of its own staff, perform parts of the services offered by the contractor, provided this has been agreed with the contractor in advance. The project managers decide on the practical execution and on any necessary training, competences or support.

If the software or any hardware supplied by the contractor does not work as specified in the functional specification, or if the contractor does not perform the services in accordance with the functional specification, the client takes appropriate measures; in particular it must avoid causing or increasing damage, secure stored data, continuously check the results reported by the program, and identify and describe in detail the malfunctions and errors occurring in the operation of the software or hardware or in the services performed by the contractor. It must collect this data so that it is recorded on machine-readable media and can be reconstructed at relatively low cost.

8.4 Non-solicitation

The parties mutually undertake that, for the duration of this contract, they will not influence the other party's staff to stop working for the other party, nor begin any cooperation with the other party's staff. In the event of a breach of this obligation, the parties agree on a lump-sum contractual penalty equal to two years' gross earnings of the staff member concerned, which the party that influenced the staff member or began cooperating with them must pay to the other party.

8.5 Review of Solutions

The contractor will submit to the client the documents relating to the solution for acceptance, in particular for transfer to the production environment and the functional specification. The two project managers jointly set the dates for the transfer and review of these documents. If the transfer is delayed beyond the agreed dates through no fault of the contractor (e.g. the client's lack of response), the contractor is not liable for damage resulting from such a delay. The contractor may consider solutions to which the client has not raised justified objections within two weeks of transfer to the production environment as accepted and rely on them in the next steps of the project.

8.6 Testing and acceptance

The client must actively transfer the respective individually developed part, functionality adjustment or solution to the production environment no later than 10 working days after delivery, unless otherwise agreed. The project managers determine the scope and dates of (partial) transfers. The client confirms acceptance with minutes (Report on successful testing on the client's test data). If the client lets the period of ten working days expire without accepting the solution, the delivered solution is deemed accepted on the last day of that period. In any case the solution is deemed accepted when the client first uses it in the production system. The client reports and documents to the contractor any errors that may occur, i.e. deviations from the functional specification agreed in writing, and the contractor must strive to correct the errors as soon as possible. In the case of material errors, i.e. where use in the production system cannot begin or continue, acceptance must be repeated after the error has been corrected. Specific response times are set by the maintenance contract, which the contractor and the client may conclude upon transition to production use of the solution.

8.7 Development, test and production system

As a rule, the contractor will first install the programs on a development system located at its premises, carry out the basic configuration and any necessary adjustments there and prepare the equipment for installation at the client. The production system and the test system for setup, training and test cases are in principle installed on a dedicated server. The client is obliged to test the software thoroughly on the test system. In doing so it must use data sets as they will be used in operation and test the system to the extent and in the manner in which it will be used in operation. The transfer of the software from the test environment to the production environment is carried out by the contractor or the client, unless the client's internal rules provide otherwise, and the client begins to use the software at its own risk.

If the client purchases hardware, operating systems etc. from third parties, the contractor will, at the client's request, give an assessment of the basic suitability of these devices for the desired goals. Costs for tests, installation work on these client devices, end-user training etc. are charged at actual cost, insofar as they are not already included in the functional specification or the contractor's offer. In both cases the client bears the costs and risks of the ongoing operation of the devices, including technically and organizationally appropriate data protection, protection against unauthorized access and virus attacks.

8.8 Remote access

So that the contractor can quickly support the client in the event of a warranty claim or other assistance, a remote access system is set up. Each contracting party bears the costs incurred at its premises (for hardware and software, telephone connection etc.). The two project managers decide jointly on the technical solution and the relevant security aspects. The client may restrict remote access, e.g. allow access only at certain times of day, for certain contractor staff or according to other agreed criteria. If the contractor incurs damage or additional costs due to the unavailability of remote access for which the client is responsible, the additional costs may be charged to the client separately. The contractor is not liable for any damage resulting from the unavailability of remote access.

8.9 Handover to maintenance and support

After the production system goes live, further consulting follows through solution maintenance and support. A maintenance contract may be concluded for maintenance services. If the client does not conclude a maintenance contract with the contractor, the contractor has no responsibility towards the client after the transition to production regarding the further performance of services, except obligations arising from the warranty granted.

9. Prices, taxes and fees

9.1 General

Unless otherwise stated, all prices are in EUR excluding VAT and apply only to the individual order concerned. The general hourly rate for services is EUR 70 + VAT if the client has concluded a maintenance contract with the contractor, otherwise EUR 100 + VAT.

9.2 Standard software

Prices stated in offers for standard software modules are binding until the “valid until” date. Any price increases by the software manufacturer occurring after that date are passed on to the client. At the client's request the contractor will provide the relevant documents (manufacturer's notice, current price list).

9.3 Proprietary software

Prices stated in offers for proprietary software modules are binding until the “valid until” date. Any price increases by the contractor occurring after that date are passed on to the client.

9.4 Services

Prices stated in offers for services bind the contractor for 15 days from the date of the offer, unless otherwise specified in the offer. After that, the contractor may reflect increases in labour and material costs or other costs and duties in its hourly rates and adjust prices for inflation. The client is deemed to have accepted such increases in advance if they do not exceed a 10% increase in value per year. Services performed by the contractor at the client's request that exceed the originally agreed scope of services are charged at the hourly rates applicable at the time the service is performed. Services are performed within the contractor's normal working hours (Mon–Fri between 8:00 and 16:00), and the contractor is available to the client at least during availability hours (Mon–Fri between 8:30 and 14:30). Availability hours may be set differently in the implementation or maintenance contract if necessary due to the nature of the client's operations. If, exceptionally and at the client's request, a service is performed outside normal working hours, the additional costs are charged separately as set out in these Terms and the offer.

9.5 Travel costs and costs for work outside working hours

Travel costs, per diems and accommodation costs are charged to the client separately at actual cost in accordance with the applicable Decree. Travel time is charged at half price. For services performed outside working hours at the client's request, the following surcharges are charged per hour of services performed, as a percentage of the agreed service price:

  • for afternoon and night work (Mon–Fri 16:00–8:00) 50%,
  • for work on Saturdays 100%,
  • for work on Sundays 200%,
  • for work on public holidays 200%.

Where two of the above items overlap, the higher rate applies. For night work on Sundays or public holidays, the night work rate applies in addition to the Sunday or holiday rate.

10. Deadlines and right of withdrawal

The contractor strives to meet the agreed performance deadlines as far as possible. Target deadlines can only be met if the client fully performs all necessary work, hands over documentation, confirms the functional specifications received and fulfils its duty to cooperate. The contractor is not liable for delivery delays or price increases resulting from incorrect, incomplete or subsequently changed data, information or documentation provided by the client. Any additional costs arising from this are borne by the client. Each contracting party may set new deadlines due to unforeseeable, unexpected events such as force majeure, labour disputes, natural disasters, or supplier failures/delays. If the agreed delivery deadline is exceeded solely through the fault of the contractor, the client may, after granting a reasonable extension of at least 14 days, withdraw from the order concerned by registered letter if the agreed service has not been performed in its essential parts within the extended period either. Withdrawal from partial deliveries and services already performed is excluded.

11. Payment

The contractor will invoice the software licence in accordance with the offer and will invoice services once a month. For orders comprising several units or software modules, the contractor may make partial deliveries or issue partial invoices. Unless specifically agreed, invoices issued by the contractor, including value added tax but without any deduction or offsetting of costs, must be paid no later than 15 days after receipt of the invoice. The payment terms set for the overall order apply analogously to partial invoices.

Compliance with the agreed payment deadlines is an essential condition for the contractor to make deliveries or fulfil the agreed obligations under the offer and in accordance with the Terms. If agreed payments are not made, the contractor may, within one week of a written warning, stop ongoing work and withdraw from the offer. The client must bear all costs associated with this and the contractor's loss of profit. For all invoices not issued in EUR, if the exchange rate changes by more than 3% between the invoice date and payment, the contractor is entitled to be paid the difference. The contractor will issue a new invoice for the difference arising from exchange rate differences.

If the client is late with payment, default interest may be charged at the statutory default interest rate. If the client does not comply with the payment terms or the contractor becomes aware of circumstances affecting the client's ability to pay, the contractor may demand advance payment for deliveries not yet made. Payments are valid only when made directly to the contractor. If several claims against the client are open, the client's payments are offset against the oldest claim in each case. Any costs are always offset first, then interest and finally the principal claim. The client may offset obligations to the contractor only against its own acknowledged and finally established claims against the contractor.

12. Intellectual property rights

The contractor guarantees and warrants to the client that it holds all intellectual property rights to the Etrust solutions. The contractor warrants that the Etrust solutions are free of any third-party claims that would in any way restrict the client's rights. All rights arising from copyright, trade secrets and other intellectual property rights in and relating to the Etrust solutions or any part of these packages remain the property of the contractor.

The client undertakes to prevent unauthorized access to the Solution, copying, distribution, reproduction, adaptation, modification, interference with the source code and reverse engineering. The client will immediately notify the contractor of any unauthorized possession or use of the Solution by any person or company without permission. The Solution may not be offered in a bundle with any third-party product or sold as a stand-alone product or in combination with any third-party product. The Solution may be copied solely for backup purposes.

The client warrants and agrees that it:

  • acquires a time- and territory-limited permitted use of the Solutions, without rights to sublicense or transfer, solely for its internal purposes (hereinafter the Licence),
  • will not use the granted licence contrary to the purpose set out in the offer or contract,
  • will not, for the duration of the offer or contract, directly or indirectly challenge the intellectual property rights in the Solution or their validity,
  • acknowledges that the offer or contract constitutes a valid legal title that the contractor may enforce in the event of a dispute,
  • will, in any proceedings concerning the protection of intellectual property rights in the Solution, give the contractor full support and notify it in writing upon becoming aware of any infringement of intellectual property rights,
  • will not directly or indirectly re-export or resell the Solution or otherwise act in a way that could result in the Solution being deemed exported,
  • will not resell the Solution, issue sublicences, rent, sublet, lease or lend it. Nor will it subject the licences to reverse engineering, decompilation, disassembly, adaptation, modification or otherwise attempt to discover its source code or create products derived from it.

13. Liability for defects

The contractor will correct, free of charge, errors within its domain that occur during the warranty period of six months after the production system starts operating. Liability applies only to errors that are material and reproducible and are reported within five working days after they occur. In the case of a justified claim, errors will be corrected within a reasonable period, and the client will allow the contractor to carry out all measures necessary to identify and correct the errors. If the client mistakenly and without proper identification and documentation claims that deficiencies or errors exist, and the contractor incurs additional costs as a result, these are charged separately. The contractor will provide consulting, assistance, and correction of errors and malfunctions for which the client is responsible, as well as other changes and additions, for a fee. This also applies to the correction of errors if the client itself or a third party has made changes to the program or its settings, additions or other interventions.

The client agrees that the contractor will not be liable for any alleged error or non-conformity if that error or non-conformity was caused by:

  • use of the software not in accordance with the offer or contract; or
  • modification of the software by persons not authorized by the contractor; or
  • damage due to improper or careless use; or
  • use of the software in combination with an operating system or hardware not approved by the contractor.

The contractor does not warrant the operation of the software when used with or integrated with third-party products, except for integrations with the contractor's licensor. The contractor gives no other assurances or warranties regarding the software, including any express or implied warranty of satisfactory quality, merchantability and fitness for a particular purpose, non-infringement of third-party rights and all other warranties.

Also excluded from liability for defects are errors due to changed components of the production system, interfaces or parameters, use of unsuitable or defective hardware, data media etc. For programs subsequently modified by the client's programmers or third parties, any liability of the contractor for defects lapses. If the contractor also supplies software from other manufacturers, the contractor's liability is limited solely to liability for the choice of the other manufacturer and to the liability arising from the relevant (additional) contract for the purchase or supply of that manufacturer's software between the client and the contractor. If the subject of the order is a change or addition to existing programs, liability relates to the change or addition. Liability for the underlying program is not revived by this. The client must, on its own responsibility, ensure backup of programs and data relating to the installed software.

14. Trade secrets

The contracting parties agree that all data and documentation to which they have access during the cooperation or which they obtained in exercising their contractual rights or obligations are confidential. In particular, the following are considered confidential data:

  • any data on the software and the Solution,
  • other data such as instructions, documentation, methods, processes, formulas, systems, inventions, models, patents, know-how, working methods,
  • business data such as turnover, lists of the contracting party's clients, business partners and end customers, price lists, sources of supply, financial data and financing, information from business plans, marketing materials, plans …,
  • any business data defined as a trade secret in the offer or contract, or that could be defined as a trade secret under the relevant provisions of the Trade Secrets Act, which the contracting party obtains directly from the other contracting party or from a third party.
  • Data for which it is obvious that significant damage would arise if an unauthorized person learned of it are also considered trade secrets.

Confidential information does not include any information that the contracting party can prove:

  • is in the public domain or enters it later, but not as a result of a breach of this article or of other equivalent confidentiality provisions;
  • is or is later received by the receiving party or a permitted recipient from a third party that is not bound by confidentiality regarding that information;
  • must be disclosed in accordance with applicable law;
  • is or is later independently developed by the receiving party without using the confidential information of the disclosing party; or
  • was already known to the receiving party, which was not bound to keep it confidential.

The contracting parties undertake to properly secure, protect and store access to data relating to the contractual cooperation and all documentation, regardless of its form, with the highest level of protection, and only authorized persons will have access to it. Otherwise they are liable for any damage that may arise to the other party as a result.

A contracting party may disclose data protected under the offer or contract to third parties only with the prior written consent of the other contracting party. The consent specifies the third parties and the data that may be disclosed to them. In that case the contracting party must conclude an appropriate confidentiality agreement with the third party. If the third party breaches the confidentiality of the data, the contracting party that disclosed the data is liable for these breaches without limitation and jointly and severally with the third party.

The obligation to keep data confidential under this contract is permanent, until the contracting party that disclosed the data to the other contracting party decides otherwise or until the data is considered public.

The contracting parties undertake not to use or exploit the protected data, or the data obtained or provided for the purpose of this contract, in any case, in any manner or for any benefit, assistance or support, neither for their own benefit or that of their affiliated companies, nor for the benefit of third parties. The other contracting party is liable to the first contracting party for any damage incurred as a result.

Where trade secrets also contain personal data within the meaning of the applicable Personal Data Protection Act and the applicable EU Regulation (GDPR), the contracting parties must also ensure the protection of personal data in accordance with the applicable Personal Data Protection Act and the applicable EU Regulation (GDPR). The contracting parties agree that the controller of personal data (and of other data in the software databases, i.e. including all trade secrets) is the contracting party that operates the software in the given territory it holds under the offer or contract, and that this contracting party is solely responsible for the lawful and effective protection of this data.

Each contracting party undertakes that any personal data obtained through the other contracting party will remain entirely the property of that contracting party and will be used by it solely for the purpose of the cooperation and only for the duration of the cooperation. Each contracting party must ensure physical, technical and software protection of personal data so that access by unauthorized persons is impossible and access to personal data is traceable.

If a contracting party stores personal data with third parties and these third parties process and/or manage the personal data, the contracting party must ensure the same level of protection of personal data as follows from the offer or contract and applicable law. In the event of a breach of this article, the contracting parties agree that the contracting party that suffered damage may, at its discretion:

  • terminate the offer or contract without notice, with immediate effect,
  • claim compensation for damage and costs.

The contracting party that breached this article undertakes to release the other contracting party from any liability for payment of damages, reimbursement of costs or other liabilities towards third parties.

15. Liability for damages

Within the limits of the law, the contractor is liable for damage if the client proves that the contractor caused the damage intentionally or through gross negligence. The contractor is not liable for material damage caused by slight negligence. The contractor is not liable for indirect damage. The contractor is not liable for loss of data. The client must ensure appropriate data protection and backups. The client may claim from the contractor only compensation for damage actually incurred. In no case may the maximum compensation the client can claim from the contractor exceed EUR 20,000.

16. Force majeure

The occurrence of an event that prevents or unreasonably hinders the fulfilment of obligations constitutes force majeure, including but not limited to: natural disaster, pandemic, death in the family. A contracting party that cannot fulfil its contractual obligations due to force majeure must notify the other contracting party of the force majeure immediately, or no later than 2 days after the circumstances arise. If the force majeure circumstances last longer than 30 days, each contracting party has the right to withdraw from the contract with immediate effect, in which case all services performed and Solutions implemented or accepted up to that time must be paid for.

A contracting party that does not notify the other contracting party of the force majeure circumstances as required by the previous paragraph of this article cannot invoke force majeure as a reason for non-performance of its obligations.

17. Place of performance, jurisdiction

Disputes arising from this relationship fall within the jurisdiction of the courts of the Republic of Slovenia, namely the competent court in Celje. Unless otherwise agreed, the relationship between the parties is governed exclusively by the rules of Slovenian law of obligations applicable to commercial contracts, even if the order is performed abroad. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

18. Validity

These general terms apply from 1 Jan 2027. Until that date the general terms of 1 Jan 2025 apply.

Etrust PIS subscription and trial

Definitions

  • Etrust PIS is the contractor's standard production information system.
  • Etrust PIS modules are paid add-on modules of Etrust PIS (e.g. MRP, pre- and post-calculation, mobile warehouse, invoicing).
  • Integration interface is a paid package for connecting Etrust PIS with other business solutions (e.g. ERP).
  • Etrust B2B is an online product configurator that can be connected to Etrust PIS and ERP systems.
  • Customizations are functional improvements or changes that the contractor develops on the basis of Etrust PIS according to the client's requirements.
  • Licence is a non-transferable right to use an individual component to the agreed extent: perpetual on the basis of a one-off licence fee, or time-limited in the form of a monthly subscription.
  • Etrust helpdesk is the contractor's portal for reporting and tracking requests and errors.

Etrust PIS subscription

With the subscription, for its duration and subject to regular payment, the client acquires a non-exclusive, non-transferable right to use Etrust PIS without the right to sublicense, for its own business purposes and within the scope of active licences, including new versions, updates and upgrades provided by the contractor as part of the subscription.

The scope of licences is determined by office users, control centers in production on which an unlimited number of workers work, and by modules and integration interfaces charged per server. Prices are published in the price list, are monthly, in EUR and excl. VAT, and apply from 1 Jan 2027.

The scope is increased or reduced at the client's written request via the Etrust helpdesk or e-mail. An additional licence is charged from activation, while a reduction takes effect on the first day of the following month. The subscription does not include Customizations, development of new functionality or other services, which are offered and charged separately.

Process explanations given by the Trustek AI assistant on screen are free. Data processing and entry via Trustek (e.g. posting consumption or orders) are charged by usage. Trustek works with the permissions of the signed-in user and performs an action only once the user confirms it.

Support and error reporting

The client reports errors, malfunctions and new requests via the Etrust helpdesk. The report should contain the date and time of the error, a precise description of the circumstances and data used, the name of the user who detected the error and, if possible, a screenshot. Handling begins when the description is clear enough for the error to be reproduced or assessed.

The contractor corrects errors for which it is responsible free of charge. It is not liable for errors resulting from interventions in the software by the client or third parties, or from changes to third-party products or their interfaces.

Payment and termination of the subscription

The subscription is invoiced monthly, and the invoice is payable within 15 days. If the client is more than 15 days late with payment, the contractor sends a written reminder and sets an additional period of eight days. If the obligations are not settled within the additional period either, the contractor may temporarily suspend access until payment; reactivation follows without delay after payment.

The subscription can be cancelled in writing with one month's notice. On the termination date the right of use ends; the contractor enables the client, as far as objectively possible, to export its data in a generally usable format.

Trial terms

The self-service trial of Etrust PIS lasts 30 days, is free, requires no credit card and involves no commitment. The environment is set up from the template of the chosen industry once the user confirms their e-mail address.

After 30 days the client decides on a subscription. If it does not subscribe, the data is locked read-only and deleted after the agreed period.

Data in Etrust PIS

Each company has its own separate database. For the data in the database (including personal data of employees and business partners) the client is the controller, and the contractor processes it as a processor solely for providing the service. A data processing agreement is concluded together with the subscription.
